Company registration in the United Kingdom is a convenient way to enter the international market, work with clients and partners from different countries, and establish a business structure in one of the most recognized European jurisdictions.

Entrepreneurs can choose from different business structures, but the most popular options are Private Limited Company (Ltd) and Limited Liability Partnership (LLP). The choice depends on the number of participants, the business model, the planned distribution of profits, and the company’s management requirements.

Beforis assists with UK company registration from choosing the right structure and preparing documents to ongoing corporate and accounting support.

Why Entrepreneurs Choose the UK

Company registration in England is popular among international business owners, IT companies, consulting businesses, agencies, e-commerce projects, and other companies working with overseas clients.

Key advantages include:

  • a prestigious and internationally recognised jurisdiction;
  • developed legal and financial infrastructure;
  • the ability to conduct international business;
  • a clear corporate governance system;
  • a developed banking and fintech services market;
  • opportunities to attract investment and scale the business;
  • an extensive network of double taxation agreements.

Which Company Structure to Choose: Ltd or LLP?

Private Limited Company (Ltd)

Private Limited Company is the most common structure for entrepreneurs who want to establish a separate legal entity and conduct commercial activities.

An Ltd has its own legal personality, while the liability of its owners is generally limited to the amount of their investment in the company. To incorporate an Ltd, at least one director and one shareholder are required; the same person can be both the director and the shareholder.

Ltd is suitable if you:

  • are launching your own business or startup;
  • provide services to international clients;
  • are developing an IT, digital, or e-commerce project;
  • plan to attract investment;
  • want to establish a separate legal entity;
  • plan to scale the business and work with corporate clients.

Limited Liability Partnership (LLP)

LLP combines features of a partnership with limited liability. This structure requires at least two members, who can be individuals or legal entities. Each member is generally taxed on their share of the profits, while the personal liability of the members is limited.

An LLP may be suitable if:

  • the business is being established by two or more partners;
  • the partners want to distribute profits between themselves;
  • the business operates specifically on a partnership model;
  • flexibility in internal arrangements between the partners is important.

For a traditional standalone business, startup, or company with a single owner, Ltd is usually preferred. If the business is built around several partners, it may be worth considering an LLP.

Company Registration in England: Step-by-Step Process

To register a company in the UK, several consecutive steps need to be completed.

1. Determine the Business Structure

First, you choose the legal structure — most commonly an Ltd or LLP.

At this stage, you also determine:

  • owners and members;
  • directors;
  • shareholders’ ownership percentages;
  • allocation of powers and responsibilities;
  • the company’s intended business activities.

Choosing the right structure from the outset helps avoid the need to change the corporate model after the business has started operating.

2. Choose a Company Name

The name must comply with Companies House requirements and must not duplicate an existing registered name in a prohibited or misleading format.

Before registration, it is recommended to check the availability of the name and whether there are identical or similar trademarks.

3. Determine the Registered Office Address

To register a company in the United Kingdom, you need a registered office address — a physical address in the relevant part of the UK.

This address is displayed on the public Companies House register. Therefore, entrepreneurs who do not want to use their home address can use a professional registered office address provided by a specialist service provider.

4. Determine the Business Activity

When registering the company, you need to provide a SIC code describing the company’s main business activity.

Choosing the correct code is important because it should correspond to the company’s actual business activities.

5. Prepare the Corporate Information

For an Ltd, you need to provide information about the company, directors, shareholders, and people with significant control (PSCs).

The incorporation documents also include the memorandum of association and articles of association. When registering online, the memorandum is usually created automatically.

For an LLP, you provide information about the members and designated members, who have additional responsibilities relating to management and compliance.

6. Submit the Application to Companies House

The application can be submitted online, through software, or with the assistance of a professional agent.

A standard online registration of a Private Limited Company usually takes up to 24 hours. In some cases, the process may take longer.

7. Receive the Certificate of Incorporation

Once the registration is successfully completed, the company is entered into the Companies House register.

You receive a Certificate of Incorporation — a document confirming the creation of the legal entity. It includes, among other details, the company registration number and incorporation date.

At this stage, the company already exists as a legal entity, although additional registrations and setup may be required to conduct business fully.

8. Set Up Tax and Accounting

After incorporation, you need to determine the company’s tax obligations, establish accounting procedures, and monitor reporting deadlines.

Depending on the company’s activities and turnover, registration for VAT, PAYE, and other tax regimes may be required.

9. Open a Business Bank Account

Once the company has been incorporated, you can apply to open a business bank account or payment account.

The bank or fintech provider independently assesses the company, its owners, business activities, and source of funds. Therefore, company registration itself does not guarantee that a business account will be opened.

10. Maintain the Company After Registration

Starting a business in the United Kingdom is only the beginning of running it.

Going forward, you need to keep corporate information up to date, maintain accounting records, file mandatory reports, and comply with the requirements of Companies House and HMRC on time.

Taxes in the UK

The tax burden depends on the business structure, level of profits, nature of the activities, place of business operations, and other factors.

For an Ltd, the main corporate tax is Corporation Tax. In 2026, the main rate is 25% for companies with profits above £250,000, while the rate for companies with profits of up to £50,000 is 19%. Marginal Relief may apply to profits between these thresholds.

It is also important to consider the taxation of owners’ income, dividends, salaries, and cross-border transactions. Therefore, it is advisable to determine the tax structure before starting business activities.

VAT

VAT registration becomes mandatory if taxable turnover exceeds £90,000 during the relevant period or the company expects to exceed this threshold in circumstances specified by the rules. Voluntary VAT registration is also possible for businesses with lower turnover.

Companies working with clients from different countries must also consider VAT rules applicable to international supplies of goods and services.

Accounting and Reporting

Once you start a business in England, your company must regularly comply with its corporate and tax obligations.

For a Private Limited Company, it is necessary to:

  • maintain accounting and corporate records;
  • prepare annual accounts;
  • file accounts with Companies House;
  • file a Company Tax Return with HMRC;
  • calculate and pay Corporation Tax;
  • keep information about the company and the people who control it up to date.

The first accounts for an Ltd are generally due within 21 months after incorporation, while subsequent annual accounts must be filed within 9 months after the end of the company’s financial year. A Company Tax Return is generally due within 12 months after the end of the relevant accounting period for Corporation Tax.

An LLP must also prepare and file annual accounts with Companies House, including where the LLP is dormant.

Therefore, setting up a company in the UK should be viewed not only as a registration procedure but also as establishing a structure that needs to be properly maintained after launch.

Who Is Company Registration in the UK Suitable For?

Company registration in the UK may be relevant for:

  • IT companies and software developers;
  • digital agencies;
  • consultants and professional services providers;
  • e-commerce businesses;
  • international trading companies;
  • startups;
  • entrepreneurs working with international clients;
  • corporate groups and international structures.

If you are planning to set up a company in England to work with international clients, it is important to consider not only company registration but also taxation, accounting, banking infrastructure, and the actual business model in advance.
